Terms of Service

These Terms of Service ("Terms") set out the basis on which Pagecog ("we", "us", "our") provides web design, development, SEO and related marketing services to you ("you", "the client"). They apply to our website and to any work you engage us to do, alongside any written proposal or quote we agree with you. Where a signed proposal conflicts with these Terms, the proposal wins.
By accepting a quote or proceeding with a project, you agree to these Terms.
1. Our services
We provide web design and development, copywriting, search engine optimisation (SEO), and Google and Meta advertising services. The specific work for your project is described in the proposal or quote we provide. Anything not listed in that scope is out of scope until we both agree to it in writing.
2. Quotes and pricing
Our pricing is published upfront and our quotes are itemised. A quote is valid for 30 days from its date unless stated otherwise. Work outside the agreed scope (additional pages, features, rounds of revisions or change requests) will be quoted separately and only started once you approve it.
Indicative pricing ranges (such as those shown on our pricing page) are guides; your final figure is the amount set out in your accepted quote.
3. Payment terms
Unless your proposal says otherwise:
- We invoice a deposit before work begins, with the balance invoiced at agreed milestones or on completion.
- Invoices are payable within 14 days of the invoice date.
- We may pause work on overdue accounts, and overdue amounts may attract reasonable interest or recovery costs.
- All prices are in Australian dollars (AUD). Where GST applies, it will be shown on the invoice.
- Ongoing retainers (for SEO, ads and analytics monitoring) are billed in advance each period and may be cancelled with reasonable notice as set out in your retainer agreement.
4. Your responsibilities
To keep your project on track, you agree to:
- Provide content, branding, access and approvals we reasonably need, in a timely way.
- Give us accurate information and respond to questions and review requests promptly.
- Ensure you have the right to use any text, images, logos or other material you supply to us.
Delays in providing materials or approvals will move project timelines accordingly.
5. Timelines
We'll agree an indicative timeline for your project and work to it in good faith. Timelines depend on you supplying materials, feedback and approvals on time, and on factors outside our reasonable control. We're not liable for delays caused by late client input or by third parties.
6. Intellectual property and ownership
You retain ownership of the content, branding and materials you provide to us.
On full payment of all invoices for a project, ownership of the final deliverables we create specifically for you (the website design, page content we write for you, and the custom code) transfers to you. Until then, all work remains our property.
We retain ownership of our own pre-existing tools, frameworks, components, templates and know-how, and of any general techniques and skills we develop. We may use anything in those underlying tools on other projects. Unless you ask us not to, we may display your finished project in our portfolio and case studies.
7. Third-party services
Your website may rely on third-party services and platforms, for example Cloudflare (hosting and security), Shopify (e-commerce), Resend (email delivery), Google Analytics, and Google or Meta advertising platforms. These services are governed by their own terms, pricing and privacy policies, which you're responsible for accepting and (where applicable) paying for directly. We're not responsible for outages, changes, price changes or failures of third-party services.
8. Warranties and revisions
We perform our services with reasonable care and skill. After launch, we'll fix genuine defects in the work we delivered (where it doesn't perform as agreed in the scope) for a reasonable period. This does not cover changes you request to agreed work, new features, issues caused by changes you or third parties make, or problems originating with third-party services.
9. SEO and advertising results
SEO and advertising involve search engines and ad platforms we don't control. We apply current best practice and monitor performance, but we cannot and do not guarantee specific rankings, traffic, conversion rates or advertising returns. Any figures we share (including typical conversion benchmarks) are indicative, not promises of your results.
10. Limitation of liability
Nothing in these Terms excludes rights you have under the Australian Consumer Law that cannot lawfully be excluded.
To the extent permitted by law, our total liability arising out of or in connection with our services is limited to the amount you paid us for the specific work giving rise to the claim. We are not liable for any indirect, incidental or consequential loss, including loss of profits, revenue, data or business opportunity. You're responsible for keeping your own backups of content and data you provide.
11. Cancellation
Either party may end a project in writing. If you cancel, you remain responsible for paying for all work completed and any non-cancellable third-party costs we've committed to on your behalf up to that point. Deposits cover work already scheduled and are non-refundable once a project has begun.
12. Confidentiality
Each party will keep the other's non-public business information confidential and use it only to carry out the project, except where disclosure is required by law.
13. Governing law
These Terms are governed by the laws of New South Wales, Australia. You and we submit to the exclusive jurisdiction of the courts of New South Wales.
14. Changes to these Terms
We may update these Terms from time to time. The "last updated" date above reflects the current version. The Terms that apply to your project are those in effect when you accept your quote.
